These Terms and Conditions (the “Terms”) govern your use of the Dialics services, which include (i) the website located at https://dialics.com (the “Website”), and (ii) the Dialics platform—comprising call tracking, analytics, and related functionality (“Dialics” or the “Platform”). Dialics is operated by Klodyme Limited, a company registered in Cyprus under Company No. HE411367.

In these Terms, references to “we, us, our” mean Klodyme Limited (doing business as Dialics), and references to “you, your,” or the “User” refer to any individual or entity that uses or accesses the Services. By accessing or using the Services in any manner, you acknowledge that you have read, understand, and agree to be bound by these Terms as well as our Privacy Policy and any other guidelines or policies we reference (together, the “Agreement”). If you do not agree with these Terms, you must not use or access the Services.

1. Definitions

   1. “Website” means the publicly accessible Dialics website at https://dialics.com, including all associated pages and subdomains.
   2. “Dialics” or “Platform” means our call tracking, analytics, and marketing performance solution, including its web version, APIs, underlying software, and related services.
   3. “User” or “You” means any individual person or legal entity accessing or using the Services, who has the legal capacity to enter into binding agreements under applicable law.
   4. “Services” means collectively the Website and the Dialics Platform (including any updates, enhancements, or modifications).
   5. “Klodyme Limited” (or “we, us, our”) refers to the entity operating Dialics.

2. Acceptance and Modification of Terms

   1. By registering for an account, accessing, or using any part of the Services, you agree to be bound by these Terms, the Privacy Policy, and all other notices, guidelines, and rules published by us.
   2. These Terms constitute a public agreement. By using or accessing the Services, you unconditionally consent to the Terms.
   3. We may update these Terms at any time by posting a revised version on our Website. Your continued use of the Services after the revised Terms go into effect will signify your acceptance of the revised Terms.
   4. If you do not agree to any part of these Terms, you must cease using the Services immediately.

3. Eligibility and Account Registration

   1. Age Requirement. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
   2. Account Creation. To access certain features of Dialics, you must register and create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep that information current at all times.
   3. Account Credentials. You are responsible for safeguarding the confidentiality of your login credentials (e.g., username and password). You agree not to disclose your login credentials to any third party and to notify us immediately if you suspect any unauthorized use of your account.
   4. Authorized Use. You agree that you will not allow any other person to use your account, nor will you seek to disguise your identity. You will only use the Services for legitimate, lawful purposes unless otherwise agreed in writing.

4. License and Use of the Services

1. License Grant.
   • The Website is operated by Klodyme Limited. All intellectual property rights, including copyright belong to rights holder. All rights are hereby reserved.
   • Subject to these Terms, Klodyme Limited grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use.
2. Usage Restrictions. You shall not:
   • Copy, reproduce, modify, distribute, or publicly display any portion of the Services or related content without our prior written consent.
   • Reverse engineer, decompile, disassemble, or otherwise derive the source code or data structures of the Platform.
   • Upload or transmit malicious code, viruses, or similar software to disrupt the Services.
   • Use the Services to harass, defame, spam, or engage in any conduct that violates applicable laws.
3. Content Usage.
   • The Website and Platform content (“Content”) may only be used for your internal business or personal use. You agree not to exploit the Content for commercial purposes without prior written permission.
   • You agree to abide by all copyright notices and restrictions on the Content.

5. Our Rights and Enforcement

   1. Withdrawal of Access. Failure to comply with these Terms may result in immediate suspension or termination of your access to the Services, at our sole discretion.
   2. Further Actions. In the event of breach or misuse, we reserve the right to:
      • Issue warnings or take legal action;
      • Block or delete your account;
      • Seek indemnification for all costs, expenses, or damages related to the breach;
      • Send necessary notifications to the email associated with your account.
   3. Fraudulent or Suspicious Activity. If we, our partners, or regulatory authorities suspect fraudulent or suspicious activity, we may block your account without notice. If fines or fees arise from such activity, you agree to indemnify Dialics fully and authorize us to charge any default billing method linked to your account.

6. Pricing, Payment and Billing

   1. Subscription Plans. We offer various subscription tiers and pricing plans, as indicated on our Pricing Page.
   2. Monthly Subscription Fee. Your chosen plan’s monthly fee will be charged automatically to your saved payment method every 30 days unless canceled or terminated.
   3. Number Rentals and Call Costs. Separately from the base subscription fee, you must pay for each phone number rented on the Platform and any usage-based costs (e.g., call minutes). These amounts will be deducted from your Dialics balance.
   4. Auto-Recharge. You may enable auto-recharge to automatically top up your balance when it falls below a certain threshold. By enabling auto-recharge, you authorize Dialics to bill your credit card for the specified amount.
   5. Refunds. All payments and deposits are non-refundable. Funds deposited become credits tied to your account for use of the Services. We do not offer refunds except in rare cases of systemic or technical errors, at our sole discretion.
   6. Pricing Changes. We reserve the right to modify our pricing or discontinue certain features at any time without notice. Such changes do not entitle you to a refund.
   7. Payment Responsibility. You must ensure you have a valid payment method on file. If any payments fail, we may block or suspend your account until you rectify the issue. You remain responsible for any fees, penalties, or charges arising from a failed transaction.

7. Trial Period

   1. Trial Availability. Each newly registered User may be eligible for a free trial lasting seven (7) calendar days.
   2. Trial Limitations. During the trial, you may have limited functionality (e.g., the ability to purchase only one phone number), and we may provide a small credit (e.g., $10) to test the service.
   3. Subscription After Trial. If you do not cancel before the trial ends, we will automatically charge your saved payment method for the monthly subscription fee.
   4. Cancellation. You may cancel the trial at any time before it ends. Cancellation becomes effective immediately, and your access may be reverted to free or restricted status.

8. Intellectual Property

   1. Ownership. All intellectual property rights (including copyrights, trademarks, and know-how) in and to the Services, the Platform, and associated content remain the property of Klodyme Limited and/or its licensors.
   2. Trademark Usage. You may not use “Dialics,” “Klodyme,” or any other trademarks, logos, or branding without our prior written consent.
   3. Feedback. Any feedback, ideas, or suggestions you submit about Dialics may be used by us without restriction or compensation.

9. User Conduct and Obligations

   1. Accuracy of Information. You represent and warrant that all information you provide is accurate, complete, and current.
   2. Security Measures. You must take reasonable steps to secure and prevent unauthorized access to your account. This includes maintaining updated antivirus protections and ensuring secure logouts.
   3. Misuse of Services. You are responsible for any misuse or abuse of the Dialics system or its telecommunications partners caused by you or anyone using your account. In the event of legal claims or proceedings arising from your misuse, Klodyme Limited may impose fines and seek damages through legal means.

10. Third-Party Links

    1. Links. Our Website or Platform may contain links to third-party websites or resources. These links are provided solely for your convenience and information.
    2. No Endorsement. We do not endorse or assume responsibility for any third-party site’s content, privacy policies, or practices. Your interactions with such links are at your own risk.
    3. Linking to Dialics. If you link to our Website or Platform, you must not imply any endorsement or association without our prior written approval. We reserve the right to withdraw linking permissions without notice if we find such links inappropriate or excessive.

11. Liability and Disclaimers

    1. Disclaimer.
       • The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind (express or implied).
       • We do not guarantee that the Services will be error-free, uninterrupted, or free from viruses or other harmful components.
    2. Limitation of Liability. To the maximum extent permitted by law:
       • Klodyme Limited, its affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or data.
       • Our total liability for all claims arising out of or relating to these Terms or the Services will in no event exceed the amount you have paid to us in the last three (3) months, or $100, whichever is greater.
    3. No Reliance. Any content, advice, or information found on or through the Services is provided for general informational purposes only and does not constitute professional advice.
    4. Indemnification. You agree to defend, indemnify, and hold harmless Klodyme Limited and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising out of your use of the Services, your breach of these Terms, or any infringement of a third party’s rights.

12. Cancellation and Account Termination

    1. Subscription Cancellation. You may cancel your subscription at any time by following the cancellation procedure in your account settings. After cancellation, you can continue to use paid features until the end of your current billing cycle.
    2. Number Rentals. Canceling your subscription does not automatically cancel or delete any rented numbers you have on the Platform. To avoid ongoing rental charges, you must delete all existing numbers before subscription cancellation.
    3. Account Deletion. You may request to delete your entire account (including personal and payment information) via the account settings. Once deleted, your data may not be recoverable.

13. Changes to the Terms

    1. Right to Modify. We reserve the right to modify or replace any part of these Terms at our sole discretion. Any new features, tools, or updates that modify the current Services shall also be subject to these Terms.
    2. Notification. We will post updates on our Website, and your continued use of the Services after such updates will indicate your acceptance of the changes. If you do not agree to any update, you must stop using the Services.

14. Severability

If any provision of these Terms is deemed invalid, unlawful, or unenforceable by a competent court or authority, such provision will be deemed severed from these Terms, and all remaining provisions shall remain in full force and effect.

15. Dispute Resolution and Governing Law

    1. Pre-Trial Resolution. The Parties agree to attempt to resolve any dispute or claim relating to these Terms first through good faith negotiations or written notice sent via registered mail to our legal address. The receiving Party shall have fifteen (15) days from receipt to respond.
    2. Governing Law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of Cyprus.
    3. Jurisdiction. Any unresolved dispute shall be referred to the exclusive jurisdiction of the courts of Cyprus.

17. Your Declaration

    By accessing and using the Services, you declare and agree that:

    1. You have read, understand, and agree to these Terms in their entirety.
    2. You have the authority to accept these Terms on behalf of yourself or any entity you represent.
    3. You fully understand your rights and obligations and agree to adhere to all internal rules described in these Terms and the Privacy Policy.
